Ginkgo Bioworks, a U.S. biotechnology company based in Boston, announced the signing of a definitive agreement for the transaction announced in April with the German multinational Bayer, in order to expand the capabilities of Ginkgo's platform in agricultural bioinputs.

The agreement contemplates that Gingko will acquire Bayer's West Sacramento Biologics Research & Development site, team, and internal discovery and lead optimization platform for approximately US$83,000,000.

The transaction is expected to close in the fourth quarter of 2022, subject to regulatory approvals and closing conditions. Ginkgo will also integrate the R&D platform assets of Joyn Bio, a joint venture between Ginkgo and Leaps by Bayer formed in 2017.

Bayer will be the first major partner in Ginkgo's expanded agricultural biologics platform, with a collaboration that will focus on advancing Joyn's nitrogen fixation program, as well as new programs in areas such as crop protection and carbon sequestration.

As part of the three-year strategic partnership, Ginkgo will provide research services to Bayer in the field of agricultural biologics, with the potential for subsequent value in the form of royalties on net sales of products developed under the alliance.

Ginkgo Bioworks is an analysis company specializing in genetic engineering that designs microorganisms with industrial applications, for which it calls itself "the organism company". It was founded in 2009 by scientists from the Massachusetts Institute of Technology (MIT), and has revenues of US$313,800,000.
